A Board-Level Playbook for What Breaks, How Likely It Is, and Who Owns It
AI risk is no longer a future concern. It is a present-day, board-level issue.
As I discussed with Chris Hetner, who advises boards and regulators globally on cybersecurity and AI governance, organizations are being pushed to rethink how risk is defined, measured, and communicated. Privacy, security, and risk leaders are no longer just stewards of controls. They are expected to explain what happens when those controls fail, how likely disruption is, how it spreads, and who is accountable when it does.
This shift is forcing a fundamental change. AI and cyber risk are no longer technical problems. They are business risks with operational and financial consequences.

The implication is clear. When AI is involved, escalation is faster, impact is larger, and recovery is harder. That makes it a fiduciary issue.
What AI Risk Management Actually Means
AI risk management is not a technical checklist. It is a governance discipline:
AI risk management = treating AI as a business asset and process, with defined controls, monitoring, materiality thresholds, and accountable ownership, fully integrated into enterprise risk management (ERM).
If AI touches revenue, customer operations, HR, or regulated data, it is already a board-level concern.
The key question Hetner raises is simple: Do we have an enterprise risk management capability that incorporates AI?
Without that integration, AI risk remains fragmented and invisible at the level where decisions are made.
The Scenarios That Matter Most
Boards do not respond to abstractions. They respond to scenarios.
1. AI-Driven Impersonation and Fraud
AI-powered impersonation can bypass traditional fraud controls by mimicking trusted executives or workflows. These incidents often appear to be legitimate transactions until the loss becomes irreversible.
2. Agentic AI Outpacing Governance
AI systems that take action, not just generate outputs, introduce a new category of risk. Automation increases efficiency, but it also accelerates and magnifies failure when guardrails are insufficient.
3. Human Error Amplified by AI
Not all disruption is malicious. A misconfigured deployment or a single compromised credential can propagate rapidly across systems, especially in AI-enabled environments.
In each case, the question is not just what breaks. It is how fast it breaks, how far it spreads, and how costly it becomes.
How to Prioritize When Everything Feels Critical
When risk signals are constant, prioritization becomes a leadership function.
A practical approach:
- Start with revenue-critical and continuity-critical systems
- Evaluate impact in operational and financial terms
- Focus resources where concentration risk is highest
This aligns security investment with business exposure, not noise.
The Real Metric: Ability to Recover
Most organizations over-index on prevention. Boards care about resilience.
The defining question is not whether an incident occurs. It is whether the organization can withstand, contain, and recover from it. Scenario stress testing is essential. That means defining acceptable downtime, identifying manual fallback processes, and understanding cascading impacts across suppliers, revenue, and customer trust.
Hetner pointed to a major ransomware event that halted production for weeks, disrupted hundreds of suppliers, and drove billions in losses. Not because controls didn’t exist, but because recovery wasn’t designed for that scale.
What to Stress Test
Effective stress testing should include:
- Business interruption
- Supply chain disruption
- Customer trust and operational integrity
- Data and IP exposure
- Agentic AI behavior outside defined guardrails
Monitoring is also evolving. As AI systems act more autonomously, organizations must pair automated oversight with human accountability.
Start With Inventory
Every governance conversation comes back to the same starting point. Inventory.

Without a clear inventory, organizations cannot govern, monitor, or assign accountability. Shadow AI becomes inevitable, and with it, unmanaged risk. The foundational question is straightforward: Where is AI deployed, what does it impact, and who owns it?
Third-Party Risk: Accountability Doesn’t Transfer
AI adoption increases reliance on third parties. It also increases exposure.

Organizations must:
- Identify critical suppliers and dependencies
- Assess both security posture and financial stability
- Define clear ownership and response roles
- Embed accountability into contracts and SLAs
Given that the majority of cyber incidents originate in the supply chain, this is no longer optional.
What Boards Actually Want to Hear
Boards do not need more technical detail. They need decision-ready insight.
That means translating risk into:
- Breach probability
- Financial exposure
- Operational impact
- Preparedness and recovery capability
This requires moving beyond tooling metrics and aligning risk reporting with how the business measures performance and resilience.
Where Most Organizations Fall Short
Three patterns show up consistently:
- Lack of visibility into AI usage and risk exposure
- Overly technical reporting that obscures business impact
- Siloed risk management disconnected from enterprise priorities
The result is not just inefficiency. It is misalignment at the level where risk decisions are made.
